If a partnership firm is not registered, it cannot:

  • File a case in court against partners or third parties to enforce contractual rights.
  • Claim set-off in a dispute.
  • Gain the legal benefits under the Indian Partnership Act, 1932.

However, it can still operate as a business and be taxed.
